OpenAI has confidentially filed for an initial public offering, taking the first formal step toward a potential public-market debut.

The filing comes just over a week after Anthropic submitted its own confidential registration statement and days before SpaceX is expected to begin trading, placing three of the world’s most closely watched private technology companies on paths that could reshape public-market investing.

Company leadership stressed that no decision has been made on timing and noted that certain initiatives may be easier to pursue while remaining private. A confidential filing allows the regulatory review process to begin without immediately disclosing detailed financial information, preserving flexibility while management evaluates its next steps.

Why It Matters: A public listing would provide the most comprehensive look yet at the business behind one of the industry’s most widely adopted AI platforms. Financial disclosures could reveal how the company balances infrastructure investment, product development, revenue growth, governance, and capital requirements. Those details may help shape how organizations assess vendor stability, long-term product direction, and the economics of advanced AI systems.

  • Competition for Investor Capital: Anthropic confidentially filed for an IPO just over a week before OpenAI, while SpaceX is expected to reach public markets first. The timing has fueled discussion about whether these companies are competing for a finite pool of investor capital. The first successful debut could shape investor appetite for the others, while Anthropic’s disclosures may set valuation benchmarks that affect how OpenAI’s offering is received.
  • The Economics of AI Growth: OpenAI has reportedly reached around 900 million weekly active users and remains one of the fastest-growing technology companies in the world. At the same time, the company has projected substantial spending on computing infrastructure and AI research over the coming years. The gap between growth and profitability remains a key question across the AI sector, as companies invest heavily in data centers, chips, and model development while working to expand revenue. How quickly those investments translate into sustainable financial returns remains an important consideration for OpenAI, Anthropic, xAI, and the industry as a whole.
  • Valuation Expectations: OpenAI’s most recent funding round valued the company at approximately $852 billion. Secondary-market activity has provided additional clues about investor sentiment, with Anthropic recently reaching valuations near $1 trillion on some private trading platforms while OpenAI shares have continued to attract strong demand. The eventual release of financial disclosures will give investors an opportunity to compare growth, spending, and profitability expectations against those valuations.
  • Governance and Legal Challenges: Investors evaluating OpenAI will likely revisit the company’s 2023 leadership crisis, when CEO Sam Altman was briefly removed and later reinstated. Questions surrounding the company’s nonprofit origins, governance structure, and oversight mechanisms may also receive renewed attention during the IPO process. In addition, OpenAI continues to face lawsuits related to chatbot safety and alleged user harms.
  • The Company’s Next Phase: Alongside the filing, OpenAI published a statement outlining what CEO Sam Altman described as the company’s “third phase,” focused on making advanced AI more accessible and useful across the economy. The company continues to invest heavily in products such as ChatGPT and Codex, enterprise offerings, and the infrastructure required to support future AI systems. OpenAI is also planning a tender offer that would allow employees to sell shares at the latest valuation, providing liquidity while the company evaluates the timing of a potential public offering.
